Six burning questions if T-Mobile, Dish Network actually get together

T-Mobile and Dish Network, two mavericks in their respective industries, could make for a potent duo.

The nation's fourth-largest wireless carrier and second-largest satellite-TV provider are in talks to merge, according to The Wall Street Journal.

Dish founder and Chairman Charlie Ergen.

A deal would mark the latest combination of major players in the telecommunications and media industries. AT&T is awaiting approval of its $49 billion acquisition of satellite-TV provider DirecTV, while Time Warner Cable, Charter Communications and Bright House Networks intend to merge into a much larger No. 2 cable player.

A merger would bring together T-Mobile, which boasts 44.7 million retail customers and is on pace to surpass Sprint as the third-largest wireless carrier, with Dish, which has 13.8 million TV subscribers and 591,000 Internet customers.

Just as important, it brings together brash telecom CEO John Legere, whose "Uncarrier" campaign has been instrumental in turning around the company's growth prospects, with Dish Chairman Charlie Ergen, the maverick leader of the satellite company known for his unpredictable moves.

"We suspect Legere and Ergen are having more fun than anybody at the moment," said Jonathan Chaplin, an analyst at Newstreet Research, in a research note.

Dish declined to comment on the report. T-Mobile wasn't immediately available for comment.

The combination is an intriguing one, but raises some questions. Here are the six most pressing ones.

1. So why would these two want to merge?

T-Mobile and Dish are both smaller companies facing much larger adversaries. While T-Mobile has shown impressive growth over the last year and a half, the company is still well behind competitors AT&T and Verizon. Verizon, for instance, has roughly twice the number of customers as T-Mobile.

Likewise, Dish has always played second fiddle to DirecTV, which is about to get even bigger once it combines with AT&T.

A combination between T-Mobile and Dish gives both companies options. The merged company could offer both wireless and television services, the same rationale used to justify the AT&T-DirecTV deal. Dish is also sitting on a valuable stockpile of spectrum, or wireless licenses that could greatly expand T-Mobile's ability to offer faster and more reliable service.

Ergen, meanwhile, has been public about his desire to get into the wireless business. Dish has actively participated in spectrum auctions, and two years ago, made unsolicited bids for both Sprint and wireless provider Clearwire, which was eventually folded into Sprint.

first time T-Mobile has attempted to get bigger; Sprint and T-Mobile were in talks to merge last year before regulators let it be known that they wouldn't approve a deal.

There's a financial incentive to do the deal as well. JP Morgan analyst Philip Cusick estimated in a note that the two companies could save $1 billion a year by merging their marketing and general expenses.

2. How will this affect me?

If the two get together, you could see bundles of aggressively priced services. T-Mobile and Dish could offer a comparable set of services that AT&T plans to offer with DirecTV. But as both T-Mobile and Dish in their respective field, you could expect the bundle to undercut the competition. The result: potentially cheaper television and wireless service for you -- as long as you're okay with both service providers.

If you're not into traditional television, Dish also offers Sling TV, a service for cord-cutters, or people who have shunned paying for television service in lieu of online-based programming. Cusick said the demographics of T-Mobile's younger customer base matches up well with the kind of customers who subscribe to a service like Sling TV.

3. Would a deal pass muster with government regulators?

Mergers and acquisitions aren't getting through like they used to. Regulators nixed the idea of a combination between Comcast and Time Warner Cable in April, killed off any possibility of Sprint and T-Mobile getting together last year and stood in the way of AT&T's deal to buy T-Mobile back in 2011.

But in all of those cases, the deals were struck between players in the same industry. This deal would be between a wireless provider and a satellite-TV company, which would be likely to get approval, according to analysts.

4. How does this change the wireless landscape?

If nothing else, Dish would give T-Mobile the ability to bolster its network coverage. That would provide a more legitimate alternative to Verizon and AT&T. While T-Mobile has made a lot of noise about the speed of its network, its coverage outside of the major metropolitan areas continues to lag well behind its larger rivals.

Dish's spectrum would help T-Mobile augment its coverage is less densely populated area, giving consumers the ability to travel to more places and still tap into its highest speed LTE network.

Dish and T-Mobile would also make for an aggressive tag team in next year's spectrum auction. The auction is poised to sell off what is known as low-band spectrum, which is appealing because it is able to travel across wide areas and penetrate through walls for better coverage inside buildings.

T-Mobile has signaled a willingness to participate in the auction. Dish, meanwhile, was the second-largest bidder in the last spectrum auction, which ended in January.

Longer term, with Sprint and a Dish-empowered T-Mobile competing against the larger rivals, consumers could see either lower prices or more attractive plans offering bigger data packages.

5. Can John Legere and Charlie Ergen get along?

If you think Legere is unpredictable as the CEO of T-Mobile now, wait until he starts working with Ergen.

Legere has made waves as the foul-mouthed, but candid leader of T-Mobile, actively trading barbs and hyping up his company on Twitter. He's the public face of T-Mobile's Uncarrier campaign, putting forth the notion that he and his company don't act like the other wireless providers.

Ergen keeps a lower profile, but proved his aggressive and maverick streak with surprise bids for Sprint and Clearwire two years ago -- attempting to barge his way into an existing deal between Sprint and Japanese carrier SoftBank. SoftBank ended up walking away as the majority shareholder in Sprint.

It's unclear whether those two strong personalities would be able to work together. Ergen would reportedly serve as chairman and Legere as CEO. The Wall Street Journal noted that Ergen remains a "significant uncertainty."

"The biggest challenge to getting this deal closed is...well, Ergen," Chaplin said.

6. What happens to Sprint?

Industry analysts have long assumed that T-Mobile and Sprint would eventually get together, and comments by executives from both companies suggested consolidation was ultimately the best move.

But if Dish and T-Mobile get together, Sprint could lose out on a potential merger partner.

On the flip side, there were some who believed Verizon was interested in Dish for its spectrum holdings. Verizon could turn to acquiring spectrum from Sprint, according to Chaplin.

Verizon and Sprint declined to comment.

It may not all be negative. Ergen's personality could lead some reseller customers to jump ship to Sprint, according to Kevin Smithen, an analyst at Macquarie Securities.

"Sprint will have value as the last remaining wireless independent asset in the US," Smithen said.

Apple TV usage is surging -- at the expense of Mac

Apple TV appears to be the hobby people keep coming back to.

The computer maker's streaming-media box saw its share of TV Everywhere viewings doubled at the beginning of this year from the end of last, outstripping main rival Roku, according to a report from Adobe.

That may not be a home run for Apple: It appears much of the growth is people swapping in their Apple TV for the online video they previously watched on desktops and laptops.

"If you look at the Mac access, it's dropping," said Tamara Gaffney, a principal analyst for Adobe Digital Index and the lead analyst on the latest report. "For Apple, they're transitioning the lover of their computers into a lover of the Apple TV device."

Online video is exploding, as more people watch on-the-go from mobile devices and more programmers put in-demand content on the Web. That's created a boon for makers of so called "over-the-top" boxes like Apple TV, which hook up to televisions to play online video on the living room's big screen. But for Apple, this rapid growth could have hidden dangers: It means demand is soaring for one of its lowest priced products at the expense of some of its priciest, and it means the services on streaming-media boxes grow in importance compared with the hardware.

Adobe examined consumer video viewing and browsing behavior from the first quarter of last year through the first quarter of 2015. The data was aggregated from more than 500 billion visits, more than 200 billion online video starts and 2.8 billion TV Everywhere authentications for premium video content.

TV Everywhere is the traditional TV industry's gateway system for putting their shows online -- if you've ever been asked to enter your cable or satellite service password before viewing a show or a movie, that's a TV Everywhere authentication.

Adobe found that Apple TV represented 10 percent of TV Everywhere authentications in the first quarter, up from 5 percent in the final quarter of last year. That surpassed Roku, which had an 8 percent share in the latest period, up one percentage point. Gaffney said the data indicated Apple TV was a popular holiday present and noted its share may jump again once Adobe can examine data collected after Apple cut the price of the box to $69 from $99 in March.

A caveat about these standings: TV Everywhere authentications aren't the full picture of online video viewing. They don't include time spent watching free video and content delivered by subscription services like Netflix.

Alibaba Group Holding Ltd and Apple Inc. Confirm Partnership Agreement For Mobile Payments

Alibaba Group Holding Ltd (NYSE:BABA) and Apple Inc. (NASDAQ:AAPL) have agreed on a partnership to introduce a payments system into China, possibly Apple Pay. The news emerged after Alibaba’s Chairman, Jack Ma, gave a news conference in South Korea.

Mr. Ma has been quoted as saying the Chinese e-commerce giant is in the initial stages of cooperation and negotiation with the Cupertino-based tech giant, to open a payments system in China. He hopes both companies could ink deals in other areas as well.

Just a week ago, both companies were in talks to introduce a mobile payment system in China. Apple CEO Tim Cook, was excited about the partnership; in an interview with China’s Xinhua news agency, he said: “We very much want to get Apple Pay in China. I’m very bullish on Apple Pay in China.”

Apple is in discussion with a multitude of Chinese banks in an attempt to bring Apple Pay to China. Apple Pay was first launched in the US in September 2014, at the same time Alibaba debuted on the New York Stock Exchange (NYSE). Apple Pay allows iPhone users to make payments by holding their iPhones near contactless readers.

China is Apple’s second biggest market but it’s expected to be the company’s biggest revenue engine in a couple of years, relegating the US to second position. The iPhones garner higher sales from China compared to the US market; therefore, Apple Pay’s entry into China is of paramount importance to Apple.

Five Clear Signs You Need to Outsource Your Digital Marketing

As technology continues shaping the way marketers engage with customers, traditional marketing efforts are being eclipsed by digital marketing platforms and strategies.

Digital marketing allows us to understand target audiences, craft content and delivery methods, measure analytics, and strategize for the future in ways never before possible. Companies that have not yet adopted digital marketing methodologies and technologies are finding themselves behind the curve.

Bridging the Digital Marketing Divide

Many marketing organizations are trying to keep up with the changing landscape by making incremental forays into digital marketing strategy using existing marketing staff. Other companies have seen early successes with digital campaign experiments and are excited to explore further. And some companies are increasingly finding themselves on the outside looking in—wondering how to get started with digital marketing campaigns in the first place.

If your organization is anywhere on this continuum, you might have wondered how to get from where you are today to the integrated digital marketing organization you envision. Moreover, assembling the right team and resources must be cost-effective and strategically aligned with the goals of the business.

LG's Urbane is the Android smart watch to watch

NEW YORK — Apple still hasn't disclosed sales figures, but it appears Apple Watch is outselling all of the Android Wear watches pushed by Google and its partners.

Never mind that those Google watches collectively hit the market long before Apple's high-tech timepiece or that Apple is experiencing delays getting watches to buyers.

And yet by beating the drum for its own smartwatch, Apple might serve as an unwitting catalyst for watches produced by rivals.

Of course, if you're among the folks invested in the Android ecosystem, then an Apple Watch, which requires an iPhone 5 or later, is a non-starter — at least for now

With that in mind, I've started trying out one of the newest Android Wear competitors, the LG Watch Urbane, the first to run recently upgraded Android Wear software. It costs $349, same as the entry-level Apple Watch Sport.

Apple has proven with its watches what seems obvious but has too often been ignored: that style is as important for a gadget you are meant to show off on your wrist as much as what the thing does. The rounded display and stitched leather band on Urbane won't please everyone, but count me among those who likes the way it looks. That said, Urbane is outclassed by the elegance of the new Apple Watch models.

It's also worth pointing out that Urbane is a big watch, made of stainless steel with a gold or silver bezel, maybe too big or unwieldy for some. I didn't mind the size, and it felt fine on my wrist — though it is definitely heavier (at 2.3 ounces) than the Apple Watch.

You can swap watchbands on Urbane for any standard 22mm size alternative. Urbane is also dust- and water-resistant (up to 1 meter for up to 30 minutes).

The watch has a very nice 1.3-inch OLED-type display that I was able to make out in sunshine. It has nine sensors and a battery that seems to hold its own; charging is done through a small, proprietary cradle.

As with other smartwatches, it can measure your heart rate. Barking out "OK Google" with your voice summons Google's search assistant for getting directions, the weather and such.

Unlike the Apple Watch, there's no speaker for conducting phone calls Dick Tracy-style — not that it's a great experience on the Apple Watch — though you can download an app on the phone that would let you place or answer the call from your wrist. Under that circumstance, you'd still have to talk directly on the phone or through a headset.

The biggest question — and this holds true for the Apple Watch as well — is do you need any smartwatch?

After all, such watches mostly duplicate and lean heavily on the smartphone you've got on your person or nearby, though the aforementioned Android Wear software upgrade is supposed to exploit Wi-Fi to let you take advantage of certain watch functions even when your phone is out of reach. The Wi-Fi network that your watch is connected to doesn't have to be the same as the phone's connection. The only caveat is that you have had to configure the settings for the network to which you're trying to connect the watch on the phone first. Alas, I had trouble getting this feature to work.

A chief task for smartwatches is to provide notifications. The ones I received on Urbane — from Facebook, Twitter, Gmail and, yes, USA TODAY, among others — were easy to act upon or ignore, though I prefer Apple's notification system, including the subtle way you're notified on the watch via touch.

As part of the Android Wear upgrade, you can scribble an emoji right on the watch display when responding to a message and have Google try to match the shape you had in mind with a fully drawn symbol. Neat feature.

I don't think new users will have quite the learning curve they would mastering the Apple Watch. There's a single button on the side, and you use your finger to tap and swipe. There is one new gesture, also part of the Android Wear software upgrade, that lets you flick your wrist in an outward motion to get to the "next card" in an information stream that appears on the watch, or flick inward to get to the "previous card." I found it a tad awkward.

One feature I've come to appreciate is the fact that the watch face can be "always on" so that you can glance at your wrist to get the time. Isn't a watch supposed to let you do that? It doesn't seem like a big deal until you consider that the Apple Watch display comes alive only when you raise the watch toward your face.

Android Wear for now boasts more than 1,000 watch faces to choose from, many from outside developers. I spent 99 cents on a Pac-Man watch face design from Bandai Namco. Apple came out of the gate with relatively few watch faces, none from third parties.

Urbane isn't sexy like the Apple Watch. But it's a fine timepiece that, among Android Wear watches, is the smartwatch to watch.

The bottom line

LG Watch Urbane

$349, lg.com

Pro. Android Wear software update lets you keep display always on, draw emojis. Attractive. Terrific display. Multiple watch-face choices.

Con. Big size won't appeal to everybody. Had some trouble with Wi-Fi feature.

Sharp joins Insignia selling cheap Roku TVs at Best Buy

Sharp joins Insignia selling cheap Roku TVs at Best Buy

The first household name to incorporate the Roku TV platform, Sharp will offer 43-inch and 50-inch models, available exclusively at Best Buy. House brand Insignia will sell 32- and 55-inch Roku TVs, starting at $229 for the 32-inch model.

Roku continues to add brands to its stable of Roku TV partners, and Sharp is the latest.

The well-known TV maker joins less familiar monikers TCL, Hisense, Haier and Insignia in offering televisions with Roku's streaming platform built-in, and true-to-form, they're all very affordable. The new Sharp TVs will be available in two sizes, the 43-inch LC-43LB371U ($380) and the 50-inch LC-50LB371U($500).

Meanwhile Roku also announced pricing and availability of the Insignia Roku TVs introduced at CES. They'll bracket the Sharps in size with the 32-inch NS-32DR420NA16 ($230) and the 55-inch NS-55DR420NA16 ($550).

Unlike the Roku TVs from TCL and Hisense, which are sold at numerous outlets including Wal-Mart and Amazon, the new Sharp and Insignia sets will be exclusive to Best Buy. They go up for preorder today at the BestBuy.com site, and will appear in stores over the next couple of weeks. They're also the first Roku TVs to be available in Canada as well as the U.S.

The Roku platform is our favorite not just for sticks and boxes, but also, judging from the TCL FS4610R we reviewed last year, for integrated Smart TVs. Its app selection and interface are second to none, and it largely avoids the mistakes of most Smart TV systems, such as infrequent updates, slow response times and useless clutter. We're also fans of its innovative home screen, which places source devices like game consoles and cable boxes on the same plane as apps like Netflix and Amazon Instant Video.

According to Chas Smith, SVP and GM of OEM for Roku, the company's goal is to avoid fragmentation between the boxes and TVs as much as possible. To that end, all of the new Roku TV sets ship with the latest software, including Roku Feeds and a dedicated Channel Store search. Current Roku TV owners should be getting the update soon as well, if they haven't already.

No Roku TVs offer the remote-based enhancements found on the new Roku 3 box, such as voice search. The updated iOS and Android Roku apps, however, do work with Roku TVs and support voice search (the Windows Phone app for Roku lacks voice search capability).

Beyond brand the Sharp and Insignia sets appear very similar to the TCL and Hisense models. They get entry-level features--a 60Hz refresh rate, three HDMI inputs and 1080p resolution (even on the 32-inch model)--and prices to match. They also have simplified remotes that keep buttons to a minimum, although they clickers will apparently get a couple new buttons, namely a sleep timer and direct access to the Game input.

Aside from external styling, one of the main differences between the Roku TVs introduced so far is the default background color of the menu system. TCL's menu color is red, Hisense is green, Sharp gets what was described to me as "charcoal black" and Insignia warrants "Insignia Blue." As with all Roku devices you can modify the TVs' background color using a couple of themes.

TCL's 2015 S3700 series Roku TVs are currently on sale at prices that are very similar to the Sharp and Insignia sets. Amazon has the 48-inch 48S3700 for $500 and the 55-inch 55S3700 for $550. The 32-incher is currently out of stock, but its list price is $220. Roku says pricing and availability for the S3800 and S3850 series are still to be announced.

Roku isn't the only independent Smart TV platform to appear on a Sharp TV this year. Android TV will also ship on certain 2015 Sharps such as the UE30 series. If our review of the Google Nexus Player is any indication, Android TV has a long way to go before it catches Roku.
